If you provide feedback, comments, or suggestions about the Services ("Feedback"), you grant Tradewise an irrevocable, non-exclusive, royalty-free, fully-paid, perpetual, worldwide license to use, modify, and distribute such Feedback for any purpose.

IN NO EVENT SHALL TRADEWISE USA'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TRADEWISE USA IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

You agree to defend, indemnify, and hold harmless Tradewise USA, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.
These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of law provision or rule.
Before filing a claim against Tradewise USA, you agree to try to resolve the dispute informally by contacting us at legal@tradewiseusa.com. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, either party may proceed with a formal proceeding.
Except for disputes relating to intellectual property rights, obligations, or any infringement claims, any disputes arising out of or related to these Terms or the Services shall be finally settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
The arbitration shall take place in Wilmington, Delaware, and shall be conducted in the English language. The arbitrator(s) shall award to the prevailing party, if any, the costs and attorneys' fees reasonably incurred by the prevailing party in connection with the arbitration.
YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST TRADEWISE USA ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent breach of confidentiality obligations or intellectual property rights.
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the Services or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.
In the course of using the Services, you may have access to confidential information of Tradewise USA, including non-public features, plans, designs, costs, or other information that would reasonably be considered confidential ("Confidential Information").

You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services. These Terms, together with our Privacy Policy and any additional terms to which you agree when using specific elements of the Services, constitute the entire agreement between you and Tradewise regarding the Services.
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without our consent shall be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Tradewise USA.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation.
These Terms do not confer any third-party beneficiary rights.
